These Terms of Use (“Agreement”) govern your access to and use of the PRX discount, rewards and cashback platform, including the PRX website, mobile application, PRX-issued payment card, browser tools, promotional features and any associated products, programs or services (“PRX Platforms” or “Services”). By creating an account with PRX Enterprises Pty Ltd (“PRX”, “we”, “us”, “our”), you agree that you have read, understood and accepted this Agreement, including any policies incorporated by reference, such as our Privacy Policy and Promotion Terms. Your continued use of PRX constitutes ongoing acceptance of these terms. PRX reserves the right to modify or update this Agreement at any time. Any revised version will apply from the date it is published on the PRX Platforms. This Agreement applies to the PRX discount, rewards and cashback ecosystem. 1. Service Licence
Subject to this Agreement, PRX grants you a revocable, non-exclusive, non-transferable licence to access and use the PRX Platforms solely for personal, non-commercial use. All rights not expressly granted remain reserved by PRX and its licensors.
2. PRX Account
To use the Services, you must create an account and provide accurate registration information. Your use of the Services is at all times subject to PRX’s discretion. Users must not create or control multiple PRX accounts; link the same payment card, bank account or PRX Mastercard to more than one PRX account; engage in fraudulent, misleading or abusive behaviour; or manipulate reward, token or cashback accrual mechanisms. PRX may suspend or terminate accounts, remove rewards or tokens, or cancel cashback where PRX reasonably believes misuse or fraud has occurred. Users are responsible for ensuring their account’s reward balances, token balances and cashback entries are correct. PRX may refuse to correct discrepancies reported more than 30 days after the relevant transaction.
3. Rewards, Discounts & Cashback Eligibility
PRX provides users with access to percentage-based cashback, merchant-funded instant discounts, PRX rewards, points or tokens, referral bonuses, trade promotions and giveaways. Eligibility for each offer is subject to the conditions displayed with the relevant promotion. General conditions may include completing a qualifying purchase with a participating merchant; accessing the merchant through approved PRX channels; enabling cookies or tracking where necessary; completing the transaction within specified timeframes; using an approved payment method; not using coupons, discounts or codes that void merchant-funded rewards; ensuring transactions are legitimate and not made to artificially trigger rewards; and compliance with merchant policies. PRX reserves the right to change, suspend or remove promotions at any time.
4. Card-Linked Offers (Payment Card Linking & Transaction Monitoring)
Some PRX rewards are delivered as card-linked offers (“CLOs”). To participate, you may link one or more eligible payment cards to your PRX account. When you link a card, the relevant Payment Card Network and PRX’s third-party service providers monitor eligible transactions on that card to identify qualifying purchases at participating merchants, so that applicable cashback, rewards or tokens can be credited to your account. To receive CLO cashback or rewards, you must link at least one eligible debit or credit card. Prepaid cards; corporate, business or purchasing cards; gift cards; store cards; government-administered prepaid cards; and cards not processed through Visa or Mastercard are generally not eligible. The card must be issued by an Australian Financial Institution. By registering a Linked Card, you authorise PRX to share payment card information with Third-Party Service Providers and the Payment Card Network, and authorise transaction monitoring and the sharing of qualifying transaction details with PRX. You may opt out by de-linking the relevant card through account settings or closing your account. Certain purchases may not qualify, including PIN-based purchases, some digital-wallet payments, balance payments and transactions not processed through the Payment Card Network. Returns, chargebacks, cancellations, disputes and refunds may result in reversal or deduction of credited cashback, rewards or tokens. Age-restricted transactions must comply with all applicable laws and merchant and Payment Card Network requirements.
5. Merchant Partner Policies
Reward and cashback eligibility is dependent on merchant participation. PRX is not responsible for changes by merchants to pricing, eligibility or return policies; orders that merchants decline, reverse or refund; shipping, fees or terms outside PRX’s control; merchant cancellations or invalidations; or any indirect merchant conduct or outcomes. PRX disclaims liability for loss, delays, value changes or claims relating to independent merchant conduct.
6. PRX Cashback Payments (PRX Mastercard)
Cashback accrued through PRX, including cashback accrued via card-linked offers under Section 4, will be paid only to a PRX-issued Mastercard linked to your account. PRX may apply limits to cashback payable over a 24-hour or 30-day period, or impose minimum thresholds for redemption. Fraudulent, reversed or invalid transactions may result in PRX removing previously credited cashback. Cashback is not considered stored value, currency or a deposit product; it has no monetary value until credited to the PRX Mastercard.
7. PRX Rewards, Points & Tokens
PRX may issue digital points, prizes, entries or tokens (“PRX Tokens”). They are non-transferable and non-redeemable for cash unless expressly stated; have no monetary value outside the PRX ecosystem; may be changed, capped, expired or cancelled by PRX; and do not represent ownership, financial products or securities. PRX may run token-based reward programs, prize draws or promotional campaigns subject to separate terms.
8. Top-Ups, Adjustments & Deductions
PRX may make adjustments to user balances, including cashback, rewards or tokens, where a transaction is cancelled, reversed or ineligible; PRX identifies fraud, manipulation or system misuse; a merchant disputes reward eligibility; or an operational or system correction is required.
9. Expiry of Rewards, Tokens & Cashback
PRX may set expiry dates for rewards, tokens, discount credits and unredeemed cashback. PRX may close accounts that are inactive for 12 months and remove any associated balances.
10. Personal Data Protection
Information is collected and used in accordance with the PRX Privacy Policy. The PRX Platforms use analytics tools to improve the user experience; your consent preferences, managed via the cookie consent banner on first visit, determine which analytics tools are active during your sessions. See the PRX Privacy Policy, Section 9 for details.
11. Bonuses, Referral Rewards & Promotions
PRX may grant bonuses for referrals, promotions, competitions or trade promotions. All such programs are subject to the Promotion Schedule, Trade Promotion Terms, eligibility rules and regulatory requirements. PRX reserves the right to reject, reverse or void referral or promotion rewards where fraud or abuse is detected.
12. Taxes
Users are responsible for any applicable taxes on rewards, promotions or cashback credited to their account.
13. Fraud & Misuse
PRX may suspend or terminate accounts where it reasonably believes the user has engaged in fraudulent activity; manipulated the program; provided misleading information; attempted to trigger unearned rewards; or improperly used the PRX Mastercard or a Linked Card. PRX may forfeit cashback, rewards, discounts or tokens obtained through such activity.
14. Third-Party Rights
No person other than PRX and the user has any rights to enforce this Agreement.
15. Communications
By creating a PRX account, you consent to receiving service communications, promotional offers and account updates. You may opt out of marketing communications at any time.
16. Ownership & Intellectual Property
All rights in the PRX Platforms, branding, software, content and trademarks are owned by PRX Enterprises Pty Ltd or its licensors. Users must not copy or reproduce PRX’s intellectual property; misrepresent affiliation with PRX; use PRX branding without written consent; or interfere with or disrupt PRX systems.
17. Community Standards
Users must not engage in harassment, abusive conduct, hate speech, explicit content or behaviour that harms PRX, merchants or other users. Violations may result in suspension or termination.
18. Indemnification
You agree to indemnify PRX, its directors, officers, agents and partners against losses arising from your breach of this Agreement or misuse of the PRX Platforms.
19. No Warranty
The PRX Platforms are provided on an “as is” basis without warranties of fitness, accuracy or error-free operation. PRX does not guarantee reward eligibility or uninterrupted service.
20. Limitation of Liability
To the extent permitted by law, PRX is not liable for indirect, consequential or special loss; PRX’s maximum aggregate liability is limited to AUD $100; and PRX is not liable for merchant actions, system outages or tracking failures.
21. Governing Law & Dispute Resolution
This Agreement is governed by the laws of Western Australia. Any dispute will be referred to arbitration administered under the rules of the Australian Centre for International Commercial Arbitration (ACICA), seated in Western Australia.
22. Assignment
You may not assign your rights under this Agreement without PRX’s prior written consent. PRX may assign its rights at any time.
23. Headings
Headings are for convenience only and do not affect interpretation.
24. Waivers / Severability
If any clause is invalid, the remainder will continue in effect. PRX’s failure to enforce a right does not waive it.
25. Entire Agreement
This Agreement constitutes the entire agreement between PRX and the user regarding the Services and supersedes all prior versions. Information is collected and used in accordance with the PRX Privacy Policy. The PRX Platforms use analytics tools to improve the user experience; your consent preferences, managed via the cookie consent banner on first visit, determine which analytics tools are active during your sessions. See the PRX Privacy Policy, Section 9 for details.
11. Bonuses, Referral Rewards & Promotions
PRX may grant bonuses for referrals, promotions, competitions or trade promotions. All such programs are subject to the Promotion Schedule, Trade Promotion Terms, eligibility rules and regulatory requirements. PRX reserves the right to reject, reverse or void referral or promotion rewards where fraud or abuse is detected.
12. Taxes
Users are responsible for any applicable taxes on rewards, promotions or cashback credited to their account.
13. Fraud & Misuse
PRX may suspend or terminate accounts where it reasonably believes the user has engaged in fraudulent activity; manipulated the program; provided misleading information; attempted to trigger unearned rewards; or improperly used the PRX Mastercard or a Linked Card. PRX may forfeit cashback, rewards, discounts or tokens obtained through such activity.
14. Third-Party Rights
No person other than PRX and the user has any rights to enforce this Agreement.
15. Communications
By creating a PRX account, you consent to receiving service communications, promotional offers and account updates. You may opt out of marketing communications at any time.
16. Ownership & Intellectual Property
All rights in the PRX Platforms, branding, software, content and trademarks are owned by PRX Enterprises Pty Ltd or its licensors. Users must not copy or reproduce PRX’s intellectual property; misrepresent affiliation with PRX; use PRX branding without written consent; or interfere with or disrupt PRX systems.
17. Community Standards
Users must not engage in harassment, abusive conduct, hate speech, explicit content or behaviour that harms PRX, merchants or other users. Violations may result in suspension or termination.
18. Indemnification
You agree to indemnify PRX, its directors, officers, agents and partners against losses arising from your breach of this Agreement or misuse of the PRX Platforms.
19. No Warranty
The PRX Platforms are provided on an “as is” basis without warranties of fitness, accuracy or error-free operation. PRX does not guarantee reward eligibility or uninterrupted service.
20. Limitation of Liability
To the extent permitted by law, PRX is not liable for indirect, consequential or special loss; PRX’s maximum aggregate liability is limited to AUD $100; and PRX is not liable for merchant actions, system outages or tracking failures.
21. Governing Law & Dispute Resolution
This Agreement is governed by the laws of Western Australia. Any dispute will be referred to arbitration administered under the rules of the Australian Centre for International Commercial Arbitration (ACICA), seated in Western Australia.
22. Assignment
You may not assign your rights under this Agreement without PRX’s prior written consent. PRX may assign its rights at any time.
23. Headings
Headings are for convenience only and do not affect interpretation.
24. Waivers / Severability
If any clause is invalid, the remainder will continue in effect. PRX’s failure to enforce a right does not waive it.
25. Entire Agreement
This Agreement constitutes the entire agreement between PRX and the user regarding the Services and supersedes all prior versions. By interacting with PRX Vault platforms and services you acknowledge that you have read, understood and agree to this Agreement. PRX Enterprises Pty Ltd · ABN 97 682 267 769
